1. Agreement to Terms
Welcome to grantsdatabase.org (the “Site”). These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “user”) and grantsdatabase.org (“we,” “us,” or “our”), concerning your access to and use of the Site and our related services.
By accessing the Site, creating an account, or using our services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms.
2. Our Services
The Site provides users with access to a curated database of grant opportunities, informational resources, articles, templates (“Free Services”), as well as premium subscription-based services which include enhanced access, AI-powered tools, and specialized content (“Premium Services”). We also offer direct, paid grant writing consultation services (“Professional Services”).
3. Intellectual Property Rights
Unless otherwise indicated, the Site and all its content are our proprietary property. This includes all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”). The Content and Marks are protected by copyright and trademark laws and various other intellectual property rights under the laws of the Federal Republic of Nigeria and international conventions.
You are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. You may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Site, Content, or Marks for any commercial purpose whatsoever, without our express prior written permission.
4. User Registration and Accounts
To access many features of the Site, you may be required to register for an account. You agree to:
- Provide true, accurate, current, and complete information about yourself as prompted by the registration form.
- Maintain and promptly update your registration data to keep it true, accurate, current, and complete.
- Maintain the security of your password and accept all risks of unauthorized access to your account.
You are responsible for all activities that occur under your account. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.
5. Prohibited Activities
As a user of the Site, you agree not to:
- Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Use the Site to advertise or offer to sell goods and services not sanctioned by us.
- Circumvent, disable, or otherwise interfere with security-related features of the Site.
- Engage in unauthorized framing of or linking to the Site.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
- Use any information obtained from the Site in order to harass, abuse, or harm another person.
- Use our services as part of any effort to compete with us.
- Attempt to impersonate another user or person.
- Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Site.
6. Subscriptions, Payments, and Cancellations
- Billing: We bill you through an online billing account for purchases of our Premium Services. You agree to pay all charges at the prices then in effect for your chosen subscription plan. You authorize us to charge your chosen payment provider (e.g., Paystack, Flutterwave). All payments shall be in Nigerian Naira (NGN) or United States Dollars (USD) as indicated.
- Automatic Renewal: Your premium subscription will automatically renew for the same subscription period unless you cancel prior to the renewal date. You can cancel your subscription at any time through your “My Account” page. The cancellation will take effect at the end of the current paid term.
- Refunds: All purchases are generally non-refundable. Any requests for refunds will be considered on a case-by-case basis at our sole discretion.
- Professional Services: Fees and terms for our direct Grant Writing Services will be governed by a separate agreement provided prior to the commencement of work.
7. User Generated Content
If you post content on our Site (e.g., in a community forum), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, publish, and display such content in connection with the Site. You warrant that you have the right to grant this license and that your content does not violate any third-party rights. We have the right, in our sole discretion, to remove any user content at any time.
8. Third-Party Websites and Content
The Site may contain links to other websites (“Third-Party Websites”) as well as articles, information, and other content originating from third parties (“Third-Party Content”), such as grant application portals. We are not responsible for the accuracy, appropriateness, or completeness of any Third-Party Websites or Third-Party Content. Accessing these links is at your own risk.
9. Disclaimer of Warranties
THE SITE AND OUR SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SITE.
10. Limitation of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
11. Governing Law and Dispute Resolution
These Terms and your use of the Site are governed by and construed in accordance with the laws of the Federal Republic of Nigeria applicable to agreements made and to be entirely performed within Nigeria, without regard to its conflict of law principles.
Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through amicable negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be referred to and finally resolved by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act, 2023.
